Article 1(Purpose) #
The purpose of this Act is to establish Seoul National University Hospital to contribute to the development of medicine and the promotion of public health through education, research, and medical services related to medicine, nursing, pharmacy, etc. under the Higher Education Act.

Article 2(Corporation) #
Seoul National University Hospital (hereinafter referred to as the "university hospital") shall be a corporation.

Article 3(Establishment) #
(1) The university hospital shall be incorporated by registering its establishment at the location of its principal office.
(2) Matters necessary for the registration under paragraph (1) and other registration shall be prescribed by Presidential Decree.
(3) If necessary, the university hospital may establish branch hospitals in accordance with its articles of incorporation.

Article 4(Articles of incorporation) #
(1) The articles of association of the university hospital shall include the following matters:
1. Purpose;
2. Name;
3. Location of the principal office;
4. Matters concerning its projects;
5. Matters concerning education and research in medicine, nursing, pharmacy, etc. (hereinafter referred to as the "medical disciplines");
6. Matters concerning the board of directors;
7. Matters concerning executives and employees;
8. Matters concerning its organization;
9. Matters concerning assets and accounting;
10. Matters concerning amendments to the articles of incorporation;
11. Matters concerning public announcements;
12. Matters concerning dissolution.
(2) Any amendment to the articles of incorporation of the university hospital shall obtain authorization from the Minister of Education. <Amended on Mar. 23, 2013>

Article 5(Prohibition of use of similar names) #
No person other than the university hospital established under this Act shall use the name "Seoul National University Hospital" or any similar name.

Article 6(Projects) #
The university hospital shall conduct the following projects: <Amended on Jan. 7, 2014; Sep. 27, 2022>
1. Clinical education for students in the medical disciplines of Seoul National University, a national university corporation (hereinafter referred to as "Seoul National University");
2. Practice of residents and training of medical care personnel;
3. Research related to medical sciences;
3-2. Education and research on applied science based on convergence between the medical disciplines and other fields, such as science and engineering (referring to natural sciences and engineering) (hereinafter referred to as "convergence medicine");
4. Clinical research;
5. Medical projects;
6. Public health and medical projects under subparagraph 2 of Article 2 of the Public Health and Medical Services Act;
7. Other projects necessary for the promotion of public health.

Article 7(Responsibilities as public health and medical institution) #
(1) The university hospital shall faithfully fulfill its obligations as a public health and medical institution under Article 7 of the Public Health and Medical Services Act.
(2) The university hospital shall endeavor to improve public health by providing the public with quality public health and medical services.

Article 7-2(Training of professionals in convergence medicine) #
(1) The Government may formulate and implement policies to support and promote the training of professionals in convergence medicine.
(2) The university hospital may train professionals in convergence medicine.

Article 8(Executives) #
(1) The university hospital shall have 9 directors, including the chairperson, and 1 auditor.
(2) The chairperson shall be the president of Seoul National University, and the directors shall consist of the following persons (hereinafter referred to as "ex officio directors") and persons appointed by the Minister of Education upon recommendation of the board of directors; provided, at least one of the directors, other than the ex officio directors, shall be an external expert with substantial knowledge and experience in hospital management: <Amended on Mar. 23, 2013; Oct. 1, 2025>
1. The Vice Minister of Education, the Vice Minister of Health and Welfare (the Vice Minister of Health and Welfare designated by the Minister of Health and Welfare), and the Vice Minister of the Ministry of Planning and Budget;
2. The president of the university hospital, the dean of the College of Medicine of Seoul National University, and the president of Seoul National University Dental Hospital.
(3) The term of office of directors other than ex officio directors and the auditor shall be 3 years and may be renewed.
(4) The auditor shall be appointed by the Minister of Education upon recommendation of the board of directors. <Amended on Mar. 23, 2013>
(5) The auditor shall audit the accounts and operations of the university hospital.
(6) No person who falls under any of the grounds for disqualification under the subparagraphs of Article 33 of the State Public Officials Act may become a director other than an ex officio director, an auditor, or the president of the university hospital.
(7) Where a director other than an ex officio director, an auditor, or the president of the university hospital falls under any of the grounds for disqualification under the subparagraphs of Article 33 of the State Public Officials Act, they shall be deemed to have retired automatically.

Article 9(Board of directors) #
(1) The university hospital shall have a board of directors.
(2) The board of directors shall deliberate on the following matters: <Amended on Jan. 7, 2014>
1. Amendments to the articles of incorporation;
2. Matters concerning organization;
3. Project plans and budgets and settlement of accounts;
4. Acquisition and disposal of property;
5. Formulation of, and results of implementation for, the public health and medical services plan under Article 8 of the Public Health and Medical Services Act;
6. Other important matters.
(3) The board of directors shall be composed of the chairperson and the directors.
(4) Matters necessary for the operation of the board of directors shall be prescribed by Presidential Decree.

Article 10(President of university hospital) #
(1) The university hospital shall have 1 president (hereinafter referred to as the "president").
(2) The president shall represent the university hospital and supervise its overall operations.
(3) The president shall be appointed by the President of the Republic of Korea upon the recommendation of the Minister of Education, based on the recommendation of the board of directors. <Amended on Mar. 23, 2013>
(4) The term of office of the president shall be 3 years and may be renewed only once.
(5) Where the president is unable to perform their duties due to unavoidable reasons, a person designated in the order prescribed by Presidential Decree shall act on their behalf.
(6) The president shall not be removed against their will during their term of office, except in any of the following cases:
1. Where they violate this Act, any order issued under this Act, or the articles of incorporation;
2. Where they interfere with the operation of the university hospital due to accounting fraud or willful misconduct or gross negligence;
3. Where they become significantly or permanently incapable of performing their duties due to physical or mental disability.
(7) Removal of the president under paragraph (6) 1 through 3 shall require a proposal for removal through a resolution passed with the concurring vote of at least 2/3 of the full number of the directors including the chairperson.

Article 11(Appointment and dismissal of employees) #
(1) The university hospital shall have the necessary medical personnel and employees.
(2) The appointment and dismissal of medical personnel and employees shall be governed by the articles of incorporation.

Article 11-2(Clinical faculty members) #
(1) The university hospital shall have clinical faculty members to conduct the projects referred to in the subparagraphs of Article 6.
(2) Article 16 of the Higher Education Act shall apply mutatis mutandis to the titles and qualifications of the clinical faculty members under paragraph (1).
(3) Where a clinical faculty member under paragraph (1) is appointed as a faculty member of a national school under Article 3 of the Higher Education Act, their service at the university hospital shall be deemed service as a faculty member of Seoul National University. <Amended on Jan. 7, 2014>
(4) Matters concerning the term of appointment, appointment procedures, and remuneration of clinical faculty members shall be governed by the articles of incorporation.

Article 12(Concurrent positions) #
(1) Where necessary for conducting the projects under Article 6, faculty members of Seoul National University may concurrently perform duties at the university hospital. <Amended on Jan. 7, 2014>
(2) Concurrent service by faculty members under paragraph (1) shall be approved by the president of Seoul National University upon the request of the president of the university hospital. <Amended on Jan. 7, 2014>
(3) Matters concerning the duties and remuneration of faculty members of Seoul National University who concurrently perform duties at the university hospital pursuant to paragraph (1) shall be prescribed by Presidential Decree. <Amended on Jan. 7, 2014>

Article 13(Gratuitous transfer of State property) #
Where necessary for the establishment and operation of the university hospital, the government may gratuitously transfer or lease State property (including goods; hereinafter the same shall apply) to the university hospital.

Article 14(Contributions or subsidies) #
(1) The Government may provide contributions for basic facilities and equipment of the university hospital.
(2) Expenses incurred in education and research in the medical disciplines at the university hospital shall be subsidized by the Government within the budgetary limits.
(3) Operating expenses, facility and equipment costs, and expenses for repayment of principal and interest on borrowed funds for the university hospital shall be covered by its revenue; provided, in the event of a shortfall, the Government may provide subsidies.

Article 15(Business year) #

Article 17(Report on project plan) #

Article 18(Submission of settlement of accounts) #

Article 20(Mutatis mutandis application of the Civil Act) #
Except as otherwise provided in this Act, the provisions concerning incorporated foundations under the Civil Act shall apply mutatis mutandis to the university hospital.

Article 21(Administrative fines) #
(1) A person who violates Article 5 shall be subject to an administrative fine not exceeding 5 million won. <Amended on Dec. 18, 2018>
