ACT ON THE SPECIAL CASES CONCERNING THE MATTERS TO BE FILED IN THE REGISTER OF CORPORATION

Article 1(Purpose) #

The purpose of this Act is to provide for special cases concerning matters to be entered in the register of corporations (referring to corporations, commercial corporations and civil corporations; hereinafter the same shall apply).

Article 2(Registration of Executives) #

A resident registration number shall be given in filing for the registration of each executive of a corporation: Provided, That no address shall be given for the registration of an executive who does not have the authority of representation.

Article 3(Matters to be Registered by Branch Offices) #

No branch office of a corporation shall register any matters, other than the following subparagraphs, among the matters to be entered in the register of its principal office or head office:

1. Purpose;

2. Name or trade name;

3. Location of a principal office or head office;

4. Public announcement method of a corporation;

5. If the duration of existence of a corporation or reasons for the dissolution thereof is specified, such duration or reasons;

6. Name, address and resident registration number of an executive to represent a corporation;

7. If any provision exists, specifying that several persons will jointly represent a corporation, such provision;

8. If the authority of representation by a director of a corporation is restricted, such restriction;

9. Other matters prescribed by the Supreme Court Regulations.

Article 4(Supreme Court Regulations) #

Matters necessary for the enforcement of this Act shall be prescribed by the Supreme Court Regulations.
